General Terms and Conditions

These General Terms and Conditions (hereinafter GTC) of BIONIKA Medline Orvostechnikai Kft. (headquarter: 3516 Miskolc, Tégla utca 29., tax number: 11443915-2-05, company registration number: 05-09-005354, registered in the Company Registry Court of Miskolc Regional Court, hereinafter BIONIKA Medline Kft.) come into effect on 24.07.2020, which GTC covers and regulates the conditions of services provided by BIONIKA Medline Kft. online via its webshop.

BIONIKA Medline Kft. reserves the right to amend and complement these GTC. The amendments and complements will be available on the www.scandrea.com/gtc webpage. Any change of these GTC shall not be applicable to those orders which have been placed before the entry into force of such an amandement or complement.

3. General provisions

These GTC shall apply to online shopping available at https://scandrea.com/gtc Products can be ordered as specified in the GTC.

The GTC define and specify the rights and obligations of BIONIKA Medline Kft. as a Supplier and the customer as a buyer (hereinafter Customer).

Both consumers and business customers who are not consumers are entitled to purchase online (hereinafter Customers). For customers who are not consumers, the provisions herein that are specified by law as applicable in respect of consumers only, shall not be applicable. The consumer is any person that outside of his/her trade or business activities or outside his/her pursuit of profession enters into a contract with BIONIKA Medline kft. or deals with it in any other way.

By placing an order the consumer and the customer who is not a consumer confirms he/she has acquainted with these GTC and the annexes, and the provisions of the Data Processing Policy and explicitly agrees with them in the wording valid at the moment of placing the order.

4. Browsing in the webshop

No prior registration is needed to browse in the webshop and get to know our products.

In the webshop you can browse among the products in several ways:

  • if you know the name of the product, you can search directly by typing it in the search box
  • you can browse by several categories. 

The browsed products can be ordered by name (alphabet) or price. Below we present the operation of our webshop in accordance with the regulation of the Act CVIII of 2001 on certain issues of electronic commerce activities and information society services.

5. Registration to the webshop

You can initiate your registration by clicking on the ’REGISTRATION’ button in the heading. During registration you have to give your name, password, first name, last name, telephone number, and, when ordering, the shipping address. These data are needed to fulfill your order. You can do the registration in English, you can also find information about the products in English in the webshop. The information provided during registration can be modified and deleted before the order is placed, but not afterwards. If you still want to change or made a mistake, please contact the webshop operator.

After you submit your registration, you will receive an e-mail with your access to the webshop. BIONIKA Medline Kft. uses the above information in accordance with its Data Processing Policy which is available at https://scandrea.com/gtc webpage.

6. Distance contract

The subject-matter of the contract on purchase is all products in https://www.scandrea.com webshop. You can seek information  on product characteristics on the page belonging to the given product. Product details are valid at the time of the order. If you order the same product at a later date, product details may change. Webshop offers are in force at the given time.

A contract on purchase is concluded between BIONIKA Medline Kft. (3516 Miskolc, Tégla utca 29., telephone: +36 (20) 964 4146, email: info@bionika.hu, registration number: 05-09-005354, tax number: 11443915-2-05.) as Supplier and the customer as buyer  if the Order form is completed and placed by the Customer, then confirmed  by BIONIKA Medline Kft. via email. The distance contract has the following terms:

If performing the order runs into obstacles by any reason, the Supplier is obliged to contact the Customer immediately via e-mail or telephone to liaise how to proceed. In this case, the contract is not concluded between the Parties.

The Customer is obliged to take over the products indicated on the sent Order Form and delivered by the Supplier to the specified address and pay the price indicated on the confirmation document in the preferred manner, which includes the packaging and shipping costs of the products.

Issues not regulated here are covered by the Act V of 2013 on the Civil Code. If the customer is a consumer, the Government Decree No. 45/2014 (II.26.) on the detailed rules of contracts concluded between consumers and business operations is applicable to the contract.

The language of the contracts concluded via the webshop is English. Contracts concluded in this way are not considered as written contracts and BIONIKA Medline Kft. does not file them.

7. Purchase and order

The products available in the webshop can be listed by clicking on the headings, and can be viewed with the descriptions and the prices belonging to them.

The product you are looking for and want to buy can be added to the basket by clicking on the ’Add to basket’ button, which can be found on the list page of each product and on the detailed product data page next to the product.

You can delete the products in the basket or change the quantity of the ordered product. You can expand the contents of your basket by purchasing additional products or You can complete and place your order by clicking on the ’Payment’ button in the ’Basket’ heading in the header and then by clicking on ’ORDER’ on the ’Order summary page’ by going through the steps of ordering.

On the order summary page it is possible to view and modify order-related information and send the Supplier another order-related text message.

Our dental products are tax exempt therefore the prices indicated in the webshop are the corresponding gross prices.

You can choose the shipping and payment method during the order on the order summary page. The delivery fee for the ordered product is also indicated here. In case of requesting delivery outside the territory of Hungary, the delivery fee differs from region to region. If the delivery fee has not been indicated on the order summary page, then BIONIKA Medline Kft.  will send an individual price offer to the e-mail address provided by the Customer.

Payment can be made:

- in cash (cash on delivery or payment on the spot)

Cash payment is also possible in the form of cash on delivery. In this case, the price of the product is payed to the the courier performing the delivery.

- payment via transfer

If you choose a non-cash payment method, we will only begin shipping the products only after the payment transaction has been completed.

After placing an order, our system will first send an automatic message about the order being sent, then an official confirmation of the order will also be sent to our customers via email.

8. Payment

You can choose the following payment methods when placing an order:

- in cash (cash on delivery or payment on the spot)

Cash payment is also possible in the form of cash on delivery. In this case, the price of the product is payed to the the courier performing the delivery.

- payment via transfer

If you choose a non-cash payment method, we will only begin shipping the products only after the payment transaction has been completed.

9. Complaint

If there is a quantity and/or quality objection to the purchased product, the supplier will return the contested product, provided that the complaint has been made at the time of delivery. In case of a justifiable complaint, the price of delivery of the new product will be borne by BIONIKA Medline Kft.

10. Ownership

By concluding the contract on purchase, BIONIKA Medline Kft. undertakes to hand over the products that are subject of the purchase and shall enable the Customer to acquire his/her ownership rights. The Customer shall become the owner only upon the purchase price is paid in full. BIONIKA Medline Kft. shall hand over the products and any documents related to them to the Customer. The products are considered handed over to the Customer in the moment of personal pick-up or delivery.

11. Consumer’s right of withdrawal

The Consumer has the right of withdrawal. Such right may be exercised within 14 calendar days calculated from

  • the day on which the product is taken over,
  • the day of conclusion of a contract on the provision of services. 

The Consumer is obliged to return the product to BIONIKA Medline Kft. within 14 days calculated from the exercise of the right of withdrawal. In case of a written withdrawal, it is sufficient to send the declaration of withdrawal to BIONIKA Medline Kft. within 14 days. The Consumer may withdraw from the purchase without financial consequences if the product can be returned in its original condition. The Consumer is obliged to reimburse BIONIKA Medline Kft. for all damages of the product. BIONIKA Medline Kft. is obliged to return the price of the product and the expenses related to the order within 14 days, in this case the Consumer is obliged to bear the expense of returning the product. In addition to the cost of returning the product, the Consumer does not bear any other costs associated with the withdrawal.

12. Warranty

In which cases may you exercise your warranty rights?

In the event of a defective performance of Bionika Medline Kft., the obligee may enforce a warranty claim  against the company in accordance with the provisions of the Civil Code.

What are your rights under your warranty claim?

The obligee – at his discretion – may enforce the following warranty claims:

You  may claim a repair or a replacement unless the fulfillment of the chosen claim is impossible to meet or would result in disproportionate additional costs to the company compared to satisfying a different claim. If you did not claim or could not request a repair or a replacement,   you may claim a proportionate reduction of the price, may repair the defect yourself or have it repaired by somebody else at the company’s expense, or finally also cancel the contract.

You may also switch from the chosen warranty right to another, but you will bear the costs caused by the switch unless it was justified or caused by the company.

What is the deadline for enforcing your warranty claim?

Following the detection of the defect, the obligee is obliged to communicate the defect without delay. The obligee’s claim of warranty lapses after one year from the time of performance. For contracts between consumers and companies, the consumer’s claim of warranty lapses after two years from the time of performance.

Whom may you enforce your warranty claim against?

You may enforce your warranty claim against the Company.

What other conditions are there for enforcing your warranty rights?

Within six months after performance, there is no other condition except for communicating the defect, if the obligee proves that the product or service was provided by BIONIKA Medline Kft. However, after six months from the date of performance, the obligee is obliged to prove that the defect you discovered had existed at the time of performance.

13. Product warranty

In which cases may you exercise your product warranty rights?

In the event of a defect in a movable asset (product) sold by the company to a consumer, the consumer may enforce a product warranty claim.

What are your rights under your product warranty claim?

As a product warranty claim, the consumer may only demand the repair or replacement of the defective product.

When is the product considered defective?

The product is defective if it does not comply with the quality requirements applicable at the time of placing the product on the market, or if it fails to have properties indicated in the description provided by the manufacturer.

What is the deadline for enforcing your product warranty claim?

Following the detection of the defect, the consumer is obliged to communicate the defect to the manufacturer without delay. A defect communicated within two months following the detection of the defect shall be considered communicated without delay. The consumer shall be liable for the damage arising from the delayed communication.

The consumer may enforce his product warranty claim within two years after the manufacturer placed the product on the market. The expiry of this time causes the forfeiture of rights.

Against whom and under what conditions may you enforce your product warranty claim?

The consumer may enforce his product warranty claim only against the manufacturer or distributor of the product. In case of enforcing a product warranty claim, the consumer must prove that the product is defective.

In what cases is the manufacturer (distributor) exempt from the product warranty obligation?

The manufacturer (distributor) is exempt from the product warranty obligation if he proves that

  • he has not produced or distributed the product within his business activities
  • the defect was not recognisable given the state of scientific or technical knowledge when the product was placed on the market
  • the product’s defect was caused by the application of a law or a mandatory authority provision

It is sufficient for the manufacturer (distributor) to prove only one of these reasons to be exempt.

Please note that due to the same defect, you may not enforce warranty and product warranty claims at the same time.  However, in the event of a successful enforcement of your product warranty claim, you may enforce your warranty claim against the manufacturer on the replaced product or repaired part.

14. COPYRIGHT

14.1.

The website is protected by copyright. The supplier is the copyright holder or eligible user of all contents displayed on the website and in the course of the provision of services available through the website: any work or other intellectual property (including among others all graphics and and other materials, the layout and editing of the website, the software solutions and other solutions used, ideas and implementations).

14.2.

The contents or certain parts of the website may be saved on a physical or other data storage media or printed for private purposes or with the prior written consent of the supplier. Usage beyond private use – such as storage in a database, transmission, disclosure or making available for download, placing on the market – is allowed only with the prior written permission of the supplier.

14.3.

In addition to the rights specifically provided in these GTC, neither the usage of the website nor any provision of the GTC confer the customer right to use or utilise any trade name or trademark on the website. In addition to the display associated with the commercial use of the website, the temporary reproduction needed for this, and copying for private use, these intellectual properties may not be used or utilised in any other forms without the prior written permission of the supplier.
